ENTITLEMENT & SUBLEASE
Sponsor shall not transfer, barter, sell, sublet or assign
sponsorship entitlement (including but not limited
to exhibit space during the Festival) in whole or in
part without written notice to and approval from
Experience OBX (G&W Events LLC).

SPONSOR CANCELLATION OF AGREEMENT
Sponsor shall have the right to cancel this
Agreement at any time by written notice to
Experience OBX (G&W Events LLC). In the event
that such a cancellation is received up to 60 days
prior to the Festival, Experience OBX (G&W Events
LLC) shall refund full sponsorship fees less a pro rata
amount of equivalent advertising dollars received
from logo placement in printed publications.
No refunds shall be made on cancellations
received within 60 days of the Festival. Under all
circumstances, Experience OBX (G&W Events LLC)
reserves the right to resell sponsorship package
cancelled by Sponsor. No cash refunds will be
given.

CANCELLATION OR POSTPONEMENT OF FESTIVAL
If the premises in which the event is conducted
becomes unfit for occupancy or substantially
interfered due to any cause not reasonably
within the control of Experience OBX (G&W Events
LLC), the event may, at the sole discretion of
Experience OBX (G&W Events LLC), be canceled
or moved to another appropriate location and
date. Experience OBX (G&W Events LLC) shall not
be responsible for delays, damage, loss, increased
costs, or other favorable or unfavorable conditions
arising out of causes not reasonably within the
control of Experience OBX (G&W Events LLC)
including, but not limited to, fire casualty, flood,
epidemic, earthquake, explosion, accident,
blockage, embargo, inclement weather,
government restraints, acts of public enemy or
civil disturbance, acts of war, impairment, or lack
of adequate transportation, inability to secure
sufficient labor, technical or other personnel,
municipal, state, or federal laws, or acts of God.
Should Experience OBX (G&W Events LLC) cancel
the event pursuant to the provisions of this section,
Exhibitor/Sponsor waives claims for damage arising
there from. Refunds in the event of cancellation
shall be made to Exhibitor/Sponsor in the amount
of the original fee paid by the Exhibitor/Sponsor,
less Exhibitor’s/Sponsor’s pro rata share of the costs
incurred producing the event.

Space Assignment – Sponsors Exhibiting at Festival Site
Experience OBX (G&W Events LLC) shall assign
booth numbers to participating Exhibitors, the
booth identification number will correspond to a
specific location on the festival grounds. Booth
Assignments will be determined on a first come,
first serve basis and an Exhibitor may request a
specific booth assignment. No assignment will be
100% guaranteed. An Exhibitor booth map will be
distributed to the Exhibitors prior to the festival
start. Not withstanding the above, Experience OBX
(G&W Events LLC) reserves the right to change
location assignment at any time, as it may in its
sole discretion deem necessary.

Setup & Breakdown of Booth – Sponsors Exhibiting at Festival Site
Each Exhibitor will be responsible for the setup of
their individual tent and table at their designated
space. All Exhibitors must be setup prior to the
festival start time of 11:00am. Sponsors must
completely vacate the grounds by 8:00pm on
event day. All setup material and booth contents
must be packed and transported off the grounds
by end of day.

Failure to Occupy – Sponsors Exhibiting at Festival Site
Any space not occupied by 10:00 am on Festival
Day shall be deemed forfeited by Sponsor and no
refund shall be paid. Experience OBX (G&W Events
LLC) may reassign such space, at its discretion,
without any obligation to absent Sponsor.

Licenses, Liability & Insurance
Each Exhibitor is responsible for the procurement
of all necessary state permits and/or licenses and
a minimum of $1,000,000.00 liability insurance
coverage naming G&W Events LLC as a certificate
holder. Proof of insurance coverage must
accompany each application and necessary
permits/licenses must be displayed in each booth
during festival hours. There will be no exceptions.
This Agreement shall not constitute or be
considered an employer-employee relationship
between Experience OBX (G&W Events LLC) and
Sponsor. Sponsor hereby agrees to and does
indemnify, hold harmless and defend Experience
OBX (G&W Events LLC) from and against any and
all liability, responsibility, loss, damage, cost, or
expense of any kind whatsoever (including but not
limited to cost, interest and attorney’s fees) which
Experience OBX (G&W Events LLC) may incur, suffer,
be put to, pay or be required to pay, incident to
or arising directly or indirectly from any intentional
or negligent act or omission by Sponsor or any of
it’s employees, servants, or agents. Sponsor further
agrees that Experience OBX (G&W Events LLC),
and their respective agents and employees shall
not be responsible in any way for (i) damage,
loss or destruction of any property of Sponsor or
(ii) injury to Sponsor or its representatives, agency,
employees, licensees or invitees.

Codes & Agreements – Sponsors Exhibiting at Festival Site
Sponsor Exhibitors hereby agrees to be bound
by the Sponsorship Rules and Regulations of the
Experience OBX Festival. Sponsor Exhibitors further
agrees to adhere to and be bound by (i) all
applicable fire, utility, city codes and regulations;
(ii) any rules or regulations of Dare & Currituck
Counties, NC;(iii) the terms of the Lease between
Experience OBX (G&W Events LLC) and any other
party relating to the Festival. Exhibiting Sponsor
shall not, nor shall Exhibiting Sponsor permit others
to do anything to the booth or do anything to
the grounds which would cause a difference in
conditions from those previously approved by the
insurance carriers of Experience OBX (G&W Events
LLC), or the owners or managers of the Festival Location,
which will in anyway increase
premiums payable by any of the said parties
any such increases resulting from violation of this
section.

Safety, Cleanliness & Waste
All Exhibitors are responsible for maintaining their
space in a manner that is both safe and pleasing
to their workers and customers. All trash must be
boxed or bagged and placed in the disunited trash
containers. NO liquid waste can be discharged on
the grounds, nor can anything be thrown in the
bay. Exhibitors are responsible for removing their
own property and cleaning their own space at the
close of the Festival. All refreshment sponsors will
be responsible for the management, containment
and off-site disposal of wash water.

Handling and Storage -Sponsors Exhibiting at Festival Site
Experience OBX (G&W Events LLC) shall not accept
or store display materials, and Sponsor Exhibitors
shall make its own arrangements for shipping,
delivery, receipt and storage of such materials
and crates.

Exclusion -Sponsors Exhibiting at Festival Site
Experience OBX (G&W Events LLC) shall have the
right to exclude or to require modification of any
display or demonstration which, in its sole discretion,
it considers unsuitable to or not in keeping with the
character of the Festival. Experience OBX (G&W
Events LLC) shall have the right to prohibit the use
of amplifying equipment or music which, in it sole
discretion, it considers objectionable. Experience
OBX (G&W Events LLC) shall have the right to
demand modification of the appearance of dress
of persons used in connection with displays or
demonstrations.

Monitoring /Support -Sponsors Exhibiting at Festival Site
Experience OBX (G&W Events LLC) shall employ
festival staff to monitor the grounds throughout the
hours of the Festival and will exercise reasonable
care for the protection of the Sponsor Exhibitors’
materials and displays. Beyond this, Experience OBX
(G&W Events LLC) or any officer or staff member
thereof will not be responsible for the safety of the
property or the Sponsor Exhibitor, his agents, or
employees, from theft, damage from fire, accident,
Act of God, or any other cause. Sponsor Exhibitor is
responsible for individual insurance and/or policy
riders to cover all booth contents.

Local and State Tax – Sponsors Exhibiting at Festival Site
Sponsor Exhibitor(s) are solely responsible for
all local and state sales taxes from the sale
of merchandise during the Festival. Detailed
information containing applicable local sales taxes
and city office addresses are available online at:
www.dornc.com.

Payment
For all packages, a 25% payment is due upon
application submission. Deadline for Sponsors will
be on or before March 1st, 2009. For all packages,
75% of the total amount is due on or before
April 1st, 2009. The remaining balance is due
on or before May 15th, 2009. No space will be
guaranteed, subject to the reservations set forth in
these terms and conditions, without full payment.
Any balances not received 15 days prior to an
event may disqualify the Exhibitor/Sponsor from
participation in the event. G&W Events LLC accepts
Checks, Visa, Master Card, Discover and American
Express (all credit card payments are subject to a
2.5% processing fee) for payment. Checks should
be made out to G&W Events LLC and sent to 842
New Charleston Dr., Fuquay-Varina, NC 27526
along with this signed contract to the attention of
“Experience OBX”.

Who is G&W Events? 
G&W Events is a family owned and operated
event planning company based in North Carolina.
Owners Jessica and Paxton Galvanek have spent
30 years vacationing in the Outer Bank and were
even married on the beaches of the Outer Banks.
Their passion for the Outer Banks did not end with
their vacationing and marriage, the Galvaneks
wanted to give back to the community that has
given them so much. G&W Events was developed
solely around the creation and management of
a centrally located family oriented event that is
dedicated to educating visitors on the history,
culture and ecology of the Outer Banks.

Why Experience OBX?
The Experience OBX concept was developed
after the value of a community focused, centrally
located event was realized. Experience OBX will
support participating Outer Banks non-profit
organizations and their causes, local businesses
and visitors to the islands. Participating non-profit
organizations will receive increased awareness
of their cause, have the opportunity to collect
additional private donations and will receive
a portion of the proceeds from the Experience
OBX festival. Local businesses will increase their
exposure to potential customers, network with
other businesses and support their local community.
Outer Banks visitors will have free family fun, learn
about the local culture and history, plan their
current and future vacations and can purchase
local food and merchandise. After years of
research, development and planning, Experience
OBX is set for summer 2009, is highly anticipated
and hopes for a large community involvement.
